CONNETICS CORPORATION CHARTER OF THE AUDIT COMMITTEE OF THE BOARD OF DIRECTORS (Revised effective February 12, 2004) Purpose and Statement of Policy The Audit Committee (the “Committee”) of the Board of Directors (the “Board”) of CONNETICS CORPORATION, a Delaware corporation (“Connetics” or the “Company”) oversees Connetics’ financial reporting process on behalf of the Board of Directors. The purpose of the Committee is to review and advise the Board on: • the adequacy of the Company's internal controls and financial reporting process and the reliability of the company’s financial statements; • the independence and performance of the Company's independent auditors; and • the Company's compliance with legal and regulatory requirements; and to: • provide the Board with the results of its examinations and recommendations; • outline to the Board any improvements made, or to be made, in internal accounting controls; • appoint, oversee and replace, if necessary, the independent auditors; and • provide such additional information and materials as it may deem necessary to make the Board aware of significant financial matters that require the Board’s attention. Notwithstanding the listed items, the Committee’s policies and procedures should remain flexible, in order to best react to changing conditions and circumstances.
