MHMRA OF HARRIS COUNTYAUDIT COMMITTEE CHARGE(Approved MHMRA Board of Trustees: May 28, 2002)(Revised Dates: December 6, 2007, January 26, 2010)The Audit Committee is appointed by the Board to assist the Board in monitoring (1) theintegrity and quality of the financial statements of the organization, as well as the risks andcontrols underlying financial reporting, (2) the organization’s compliance with legal andregulatory requirements as they affect the financial statements and (3) the independence andperformance of the organization’s internal and external auditors.The members of the Audit Committee shall meet the independence and experience requirementsas established by the Board of Trustees with at least two members having basic knowledge aboutfinancial statements “financial literacy”. The members of the Audit Committee shall beappointed by the Board.The Audit Committee shall have the authority to retain special legal, accounting, or otherconsultants to advise the Committee consistent with Board policies. The Audit Committee mayrequest any officer or employee of the organization or the organization’s outside counsel orindependent auditor to attend a meeting of the Committee or to meet with any members of orconsultants to the Committee.The Audit Committee shall make regular reports to the Board, no less than quarterly, and morefrequently as needed or requested.The Audit Committee shall:1.
